1. Definitions and Interpretations

1.1 In these Terms and Conditions, the following terminology and guidelines for interpretation shall apply.

Charges: The amounts listed in the Order as being due for the Services.
Client: The person who places the Order is the client.
Control: The phrase "change of Control" should be interpreted in accordance with the definition of "Control" as stated in section 1124 of the Corporation Tax Act of 2010.
Customer Materials: Customer Materials include everything the client provides to the supplier to be associated with the services, including anything given in accordance with section 5.1(d), regardless of whether it is held by the client or a third party.
Deliverables: Deliverables include each result of the Services that the Supplier is required to send to the Client upon demand in line with paragraph 3.4 below, as well as any additional records, items, or materials that the Supplier provides to the Client in connection with the Services.
Intellectual property (IP) rights: IP rights include all patents, rights to inventions, copyright and associated rights, trademarks, company names and URLs, rights in goodwill and the ability to bring a lawsuit for passing-off, rights in designs, records rights, rights to use and safeguard the confidentiality of private data (which involves know-how), and all other forms of intellectual property, regardless of registered or unregistered.
Order: The Services that the client has requested through the Website.
Services: The provider is required to offer design services specified in the Order.

CKP Ventures Ltd. T/A Design Buffs is a company registered in England and Wales (Company No. 10400903) and with a registered office location at 3 Richmond Road, Reading, RG4 7PP. Design Buffs is a provider.

Value added tax (VAT) is a tax that is levied in the UK (or abroad).

Website: The Supplier may occasionally maintain a website, which is presently hosted at https://www.designbuffs.com/.

1.2 The headers of the clauses, the schedule, and the paragraphs have no bearing on how these Terms and Conditions should be read.

1.3 An individual is defined as a natural person, a corporation, or an unincorporated body, regardless of whether they have independent legal personalities.

1.4 The Schedules are a component of these Terms and Conditions and have the same legal force as if they were included in whole in the main text of these Terms and Conditions. The Schedules are incorporated by reference into these Terms and Conditions.
